PART III--NARRATIVE
The registrant's form 10-QSB for the fiscal quarter ended September 30, 1997
could not be filed on its due date without reasonable effort or expense for the
following reasons:
The Company's former Chief Financial Officer had resigned and the Company has
just recently hired a new Chief Financial Officer. The new Chief Financial
Officer was hired on November 11, 1997 and will need the time provided by this
extension to review the Form 10-QSB prior to its filing with the Commission.
The Company's Chief Executive Officer has been focusing his attention on raising
equity capital.
PART IV--(3)
The Company's preliminary results reflect revenues of approximately $2,407,000
for the quarter ended September 30, 1997, as compared to $2,208,000 for the
quarter ended September 30, 1996. The Company's preliminary net loss for the
quarter ended September 30, 1997 is approximately $1,070,000 and the net loss
available to common shareholders is approximately $1,183,000 (or $0.12 per share
on average shares outstanding of 9,961,238) as compared to a net loss of
$1,088,000 and a net loss available to common shareholders of $1,187,000 (or
$0.14 per share on average shares outstanding of 8,553,457) for the quarter
ended September 30, 1996.
The Company's preliminary results reflect revenues of approximately $6,866,000
for the six months ended September 30, 1997, as compared to $4,893,000 for the
six months ended September 30, 1996. The Company's preliminary net loss for the
six months ended September 30, 1997 is approximately $1,594,000 and the net loss
available to common shareholders is approximately $1,769,000 (or $0.18 per share
on average shares outstanding of 9,894,814) as compared to a net loss of
$1,718,000 and a net loss available to common shareholders of $2,542,000 (or
$0.31 per share on average shares outstanding of 8,139,945) for the six months
ended September 30, 1996.
