GENERAL INSTRUCTIONS
1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General
Rules and Regulations under the Securities Exchange Act of 1934.
2. One signed original and four conformed copies of this form and amendments
thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in or
filed with the form will be made a matter of public record in the Commission
files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of
the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but need

ATTACHMENT III
ChatCom, Inc. (the "Company") is continuing to experience liquidity
problems which has caused a delay in preparing financial statements for the
quarterly period ended June 30, 1998. For the foregoing reason, the Company
requires additional time to prepare its quarterly report on Form 10-QSB for the
quarterly period ended June 30, 1998.
ATTACHMENT IV
It is anticipated that a significant change in results of operations from
the quarterly period ended June 30, 1997 ("the first quarter of fiscal 1998")
will be reflected by the earnings statement to be included in the Quarterly
Report on Form 10-QSB for the quarterly period ended June 30, 1998 ("the first
quarter of fiscal 1999") due to a reduction in net sales during the first
quarter of fiscal 1999 as compared to first quarter of fiscal 1998 caused
primarily by a decrease in shipments to the Company's Singapore distributor as a
result of the Asian economic crisis in the later half of 1997. The Company is
expected to record a net loss of approximately $1,129,000 for the first quarter
of fiscal 1999 on net sales of $915,000 as compared to a net loss of $585,000 on
net sales of $4,459,000 for the first quarter of fiscal 1998.
