the prescribed time period. Due to the recent change in executive management
and operating personnel, and the pending relocation of the Company's
corporate and administrative offices, the Company has incurred a delay in
completing the information required to be included in the Annual Report on
Form 10-K for the fiscal year ended September 30, 1998. The Company expects
to complete and file the September 30, 1998 Annual Report on Form 10-K by
January 13, 1999.

The Company expects to report an increased net loss for the year ended
September 30, 1998 as compared to the year ended September 30, 1997,
primarily as a result of a loss from a loan guarantee of approximately
$5,000,000 and a write down in the value of an investment in convertible
preferred stock of approximately $4,600,000.
