1. NATURE OF OWNERSHIP.
All of the securities listed in the Form 4 are owned by Anvil
Investment Partners, L.P., a Delaware limited partnership ("Partners"). Anvil
Investors, Inc., a Delaware corporation ("Investors"), is the general partner
of Partners. Partners is the record owner of the securities. Mr. Zucker is
the controlling shareholder of Investors.
2. DESCRIPTION OF 1ST SERIES PREFERRED STOCK (THE "PREFERRED STOCK").
The Preferred Stock is currently convertible into the Common Stock
of the Company. The conversion price is subject to adjustment under certain
circumstances, certain of which require application of a complex formula
which varies according to date and trading volume. Accordingly, at the
present time, the number of shares of Common Stock issuable upon exercise is
not subject to determination.
