Reference is made to the Rule 24f-2 Notice for Pennsylvania
Mutual Fund, a Delaware business trust (the "Fund"), to the
Securities and Exchange Commission pursuant to Rule 24f-2 under the
Investment Company Act of 1940, relating to 4,913,877 shares of
beneficial interest of the Fund (the "Shares") sold during the
fiscal year of the Fund ended December 31, 1995, in reliance upon
registration pursuant to such Rule.
I have been supplied with copies of the Trust Instrument and
By-Laws of the Fund and all amendments thereto, certified or
otherwise identified to my satisfaction, and such other documents
and instruments as I have deemed necessary for purposes of
rendering the opinion expressed herein.

Shares were legally issued and are fully paid and non-assessable
under the applicable laws of the State of Delaware.
