GENERAL INSTRUCTIONS
1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General
Rules and Regulations under the Securities Exchange Act of 1934.
2. One signed original and four conformed copies of this form and amendments
thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in or
filed with the form will be made a matter of public record in the Commission
files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of
the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but need
not restate information that has been correctly furnished. The form shall

ATTACHMENT III
Video City, Inc. (the "Company") recently acquired Video Tyme, Inc., which
owns and operates six video stores in Nevada, and entered into a management
agreement to manage and operate Cianci's Videoland, Inc., a 76 store video
chain. The integration of the newly-acquired business into the existing
operations of the Company and the implementation of the management agreement
have required significant management attention and accounting resources which
could not be eliminated by the Company without unreasonable effort or expense.
For the foregoing reasons, the Company requires additional time to prepare its
Quarterly Report on Form 10-Q for the quarter ended October 31, 1998.
ATTACHMENT IV
It is anticipated that a significant change in results of operations from
the quarterly period ended October 31, 1997 ("the third quarter of fiscal
1998") will be reflected by the earnings statement to be included in the
Quarterly Report on Form 10-Q for the quarterly period ended October 31, 1998
("the third quarter of fiscal 1999"). This change is primarily due to the
acquisition of five corporations that owned an aggregate of 29 stores on March
25, 1998 and the acquisition of one corporation that owned 6 stores on September
30, 1998. The Company is expected to record a net loss of approximately
$1,164,000 for the third quarter of fiscal 1999 on rental revenue and product
sales of approximately $4,833,000 as compared to a net income of $38,902 on
rental revenue and product sales of $2,397,000 for the third quarter of fiscal
1998.
