The Prospectus Supplement dated April 12, 1995 with respect to the 7 5/8%
Senior Notes Due 2000 of The Bear Stearns Companies Inc. (the "Notes")
incorrectly set forth the month in the year 2000 when the Notes will mature and
the months during each year when interest on the Notes will be payable. The
correct months are set forth below.
Notwithstanding anything to the contrary set forth in the Prospectus
Supplement dated April 12, 1995, the Notes will mature on April 15, 2000, as
stated in the confirmations of sale delivered by the Underwriters to purchasers
of the Notes in connection with the initial distribution thereof, and interest
on the Notes will be payable semi-annually on each April 15 and October 15,
beginning October 15, 1995, to the persons in whose names the Notes are
registered at the close of business on the next preceding April 1 or October 1,
as the case may be.
