The preliminary form of Prospectus Supplement, dated June 21, 1995, with
respect to the Consolidation Portfolio Customized Upside Basket Securities Due
1998 (the "CUBS") of The Bear Stearns Companies Inc. stated that the Basket (as
defined therein) relating to the CUBS would consist of the common stocks of 24
corporations operating in seven different industry groups. Midlantic
Corporation, one of those corporations, announced on July 10, 1995 that it has
entered into a definitive merger agreement with PNC Bank Corp. As a result, the
common stock of Midlantic Corporation will not be included in the Basket and,
therefore, the Basket will consist of the common stocks of the 23 other
corporations listed in the June 21, 1995 preliminary form of Prospectus
Supplement (each representing an equal percentage (i.e., 4.3478%) of the
Original Basket Value (as defined in such preliminary form of Prospectus
Supplement) of 100).
