NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, 10-QSB, N-SAR or the transition report portion thereof could not be filed
within the prescribed time period. (Attach extra sheets if needed.)
On April 5, 2000, Birmingham Steel Corporation (the "Company")
announced it had agreed to a term sheet with its lenders to implement a debt
restructuring. The debt restructuring will modify the Company's current debt
agreements to provide additional operating flexibility, relief from certain
financial covenants, and $25 million in new funding commitments. The Company is
in the late stages of completing the definitive documents evidencing the debt
restructuring. Due to the fact that the Company's quarterly financial
statements and related notes thereto must reflect the results of the debt
restructuring, the quarterly report on Form 10Q could not be filed by the
Company without unreasonable effort or expense in the absence of an extension.
As indicated in Part II above, the Form 10-Q will be filed on or before the
fifth calendar day following the prescribed due date.
