PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-QSB
could not be filed within the prescribed time period.
The Company is in the process of resolving an accounting issue
with the Company's Accounts Payable and inventory. The Company
noticed very large discrepancies on its financial statements when
preparing them for the 10-QSB, in particular, the financial
statements were showing a loss when the Company's operations did not
indicate such a loss. The Company has employed its auditors, Jones
& Company to assist them in determining the reason for the
discrepancies and to correct any errors.
