Our legal staff and accounting staff, which prepare the Form N-SAR, are also
currently involved in the preparation of two proxy statements. The amount of
time involved in preparing these proxy statements has made it impracticable for
the registrant to timely file the Form N-SAR without unreasonable effort or
expense. Given Form N-SAR's reporting requirements, its early file date and the
total number of Funds involved in the filing (33), the registrant wishes to
ensure that all items are answered correctly and accurately. Therefore, the
registrant requests relief pursuant to Rule 12b-25(b).
