or the  transition  report  portion  thereof  could  not  be  filed  within  the

     The  Company  announced  on November  14, 2000 that it has filed  voluntary
petitions for protection  under Chapter 11 of the United States  Bankruptcy Code
in the United States Bankruptcy Court for the District of Delaware.  As a result
of the unusual  demands these  efforts have placed on the Company's  management,
the  Company  is  unable  to  timely  file its Form  10-Q for the  period  ended
September 30, 2000.
