          investment company (the "Trust"), pursuant to Rule 497(j) under
          the Securities Act of 1933 (the "Act"), we hereby certify that

          497(c) on behalf of the Trust does not differ from that contained
          in the Trust's most recent post-effective amendment, Post-
          Effective Amendment No. 33 filed April 30, 1996.  The text of
          Post-Effective Amendment No. 33 was filed electronically.  Post-
          Effective Amendment No. 33 contains a prospectus supplement dated
          May 1, 1996 required by the states of Arizona, Massachusetts,
          Texas, Vermont and Washington with respect to the High Yield
          Corporate Bond Fund and the Convertible Fund, each a series of
          the Trust.  The definitive form of the Trust's Statement of
          Additional Information is being filed pursuant to Rule 497(c)
          under the Act.
