The Company's failure to obtain certain collaborating vendor information on
a timely basis delayed its independent auditors in commencing their audit
function.  Such information has since been obtained and we expect the issuance
of their audit report shortly.

It is expected that the Company will file its Annual Report on Form 10 KSB for
the year ended June 30, 1999, within the time frame allowed in this
Notification Of Late Filing on Form 12b-25.

under the Securities Exchange Act of 1934.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, DC 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act.  The information contained in or filed
with the Form will be made a matter of the public record in the Commission
files.

3. A manually signed copy of the form and amendments thereto shall be filed

the registrant is registered.

4. Amendments to the naotifications must also be filed on Form 12b-25 but need
