State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, 
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

The Registrant is involved in a joint venture with a Singapore corporation. 
It has encountered problems obtaining information required by its auditors,
from the Singapore entity, and has been unable to provide such information to
its auditors in time for them to complete their report.

estimate of the results cannot be made.

     The Registrant expects to report that during the fiscal year ended
September 30, 1995, the Registrant had approximately $4,470,000 in revenues as
compared to $1,260,343 during the fiscal year ended September 30, 1994.  The
Registrant also anticipates that it will report net income of approximately
$1,540,000 for the fiscal year ended September 30, 1995, as compared to a net
loss of $(915,589) for the fiscal year ended September 30, 1994.  The reason
for the improved results is that the Registrant received substantially greater
license and right of first refusal revenue during the fiscal year ended
September 30, 1995.
