                              GENERAL INSTRUCTIONS

1.This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General Rules
  and Regulations under the Securities Exchange Act of 1934.

2.One signed original and four conformed copies of this form and amendments
  thereto must be completed and filed with the Securities and Exchange
  Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
  General Rules and Regulations under the Act.  The information contained in or
  filed with the form will be made a matter of public record in the Commission
  files.

3.A manually signed copy of the form and amendments thereto shall be filed with
  each national securities exchange on which any class of securities of the
  registrant is registered.

4.Amendments to the notifications must also be filed on form 12b-25 but need
  not restate information that has been correctly furnished.  The form shall be
  clearly identified as an amended notification.

            Attachment to Form 12b-25 Notification of Late Filing


     The Registrant was unable to complete its internal review of the
information contained in the report on Form 10-Q for the quarter ended
September 30, 1997, in sufficient time to meet the prescribed filing date.



     The Registrant's results of operations changed from the prior year
comparative periods.  Net sales for the three and nine months ended
September 30, 1997, were approximately $2,320,000 and $6,670,000,
respectively, compared to approximately $2,160,000 and $6,260,000 for
the comparable periods of the prior year.  Net loss for the three and
nine months ended September 30, 1997, were approximately $1,530,000
($0.13 per share) and $4,350,000 ($0.38 per share), respectively,
compared to approximately $470,000 ($0.05 per share) and $2,400,000
($0.26 per share) for the comparable periods of the prior year.  The
Registrant's working capital decreased from approximately $6,570,000
at December 31, 1996, to approximately $6,140,000 at September 30, 1997.
