SUPPLEMENT DATED JUNE 4, 1996
TO THE PROSPECTUSES DATED FEBRUARY 29, 1996
At a Special Meeting held on June 4, 1996, Galaxy's Board of Trustees,
after consideration of the recommendation of Fleet Investment Advisors Inc.
("Fleet"), the Fund's investment adviser, that Oechsle International Advisors,
L.P. ("Oechsle") be retained as the new sub-adviser for the Fund, approved a new
sub-advisory agreement between Fleet and Oechsle. The new sub-advisory
agreement will be submitted for approval by the Fund's shareholders at a meeting
scheduled to be held in early August. If approved by shareholders, Oechsle will
replace Wellington Management Company as the Fund's sub-adviser.
Oechsle is a Delaware limited partnership. The general partner of
Oechsle is Oechsle Group, L.P. and the managing general partner of Oechsle
Group, L.P. is Walter Oechsle. Oechsle's principal office is located at One
International Place, Boston, Massachusetts 02110. Oechsle currently manages
approximately $9.4 billion in assets.
