The registrant has entered into an Agreement for a significant acquisition
of assets which is contemplated to be completed in February 1996. Although
a significant portion of the terms of the agreement are known, complete
information as to the effect of this transaction on pro forma financial
information of the assets and business operations to be acquired is not yet
available to the registrant for inclusion in Form 10-QSB as required by
Item 310 of Regulation S-B.
