NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:

The Company expects to report a net loss of approximately $3,500,000 for the
year ended December 31, 1999, as compared to a net loss of $1,438,500 for the
year ended December 31, 1998.  The increased loss is primarily due to the fact
that during 1998 the Company had a gain of $1,638,000 on the sale of its
interest in All-American Golf, LLC.  The increased loss is also a result of
start-up, sales and marketing costs associated with the first full year of
operations of the Company's SportPark and Golf Center facilities in Las Vegas.
