The Registrant has not been able to compile the requisite financial data and
other narrative information necessary to enable it to have sufficient time to
complete the Registrant's Annual Report on Form 10-K by March 30, 2000, the
required filing date without unreasonable effort and expense. The audit review
of the consolidated financial statements of the Registrant and its recently
acquired majority owned subsidiary have contributed to this delay.
