EXPLANATORY NOTE
This Registration Statement, as amended to the date of its effectiveness
(August 15, 1996), registered $100,000,000 aggregate principal amount of 5-3/4%
Convertible Subordinated Notes due August 15, 2001 (the "Notes") of Ventritex,
Inc. (the "Registrant") and an indeterminable number of shares of Common Stock
as may be required for issuance upon conversion of such Notes. Of this amount,
the Registrant sold an aggregate of $57,500,000 principal amount of Notes to the
Underwriter. The preliminary prospectus filed with the Commission pursuant to
Rule 424(a) and furnished to prospective purchasers of the Notes related to a
proposed offering of up to $57,500,000 principal amount of Notes. In order to
preserve flexibility with respect to the ultimate size of the offering, and in
light of the fact that the Registrant had already paid the registration fee for
$100,000,000 principal amount of Notes, the pre-effective amendment to the
Registration Statement filed with the Commission prior to the printing of
preliminary prospectuses did not reduce the size of the offering. The offering
has now been terminated. Accordingly, the Registrant hereby deregisters
$42,500,000 principal amount of Notes and the number of shares of Common Stock
required for issuance upon conversion of such $42,500,000 principal amount of
Notes.
