Item 5. Other Events.
On May 3, 1999, The Cosmetic Center, Inc. (the "Company") disseminated the press
release filed with this Current Report on Form 8-K as Exhibit 99.1 indicating
that the Company would no longer be listed on The Nasdaq SmallCap Market.
The Company is also reporting that Mr. Kemp Woollen, Vice President and Chief
Accounting Officer of the Company, resigned his position with the Company as of
May 21, 1999 and that Charles Kill has been named the Company's new Chief
Financial Officer, effective June 14, 1999. Mr. Kill is a certified public
accountant, with 25 years experience, including over 20 years in retailing.

COSMETIC CENTER DELISTED FROM NASDAQ SMALLCAP MARKET
COLUMBIA, MARYLAND, May 3, 1999 -- The Cosmetic Center, Inc. (Nasdaq: COSCC)
today announced that its common stock will no longer be listed on The Nasdaq
SmallCap Market. The stock had been trading on the SmallCap Market via a
temporary exception from the minimum bid price requirement.
The Cosmetic Center, Inc. is a specialty retailer of brand-name cosmetic,
fragrance, skin care, hair and personal care products, sold at value prices. The
Company's retail and outlet stores operate principally under the names The
Cosmetic Center and Prestige Fragrance & Cosmetics.
