The Company is unable to file such report by March 30, 2000,
without unreasonable effort or expense, due to modifications
to the information set forth in the report and the financial
statements to be filed therewith, so as to reflect the
business restructuring of the Company effective as of January
1, 2000. The report shall be completed and available for
filing no later than Friday, April 14, 2000.

The earnings statements of the Company to be included in the
Form 10-K for the year ended December 31, 1999 are expected to
reflect a net loss of approximately $0.5 million, as compared
to net loss of $6.4 million for the corresponding period in
1998. The significant changes in results of operations were
due to a provision made against a long-term investment as a
result of the decline of the stock market in China in 1998.
