Explanation of Responses:
(1) No acquisition or disposition occurred. Mr. Weiss is filing this joint
Form 4, because although individually he is a 10% beneficial owner, for
Section 16 filing purposes, he became a member of a group that owns more
than 10% collectively. These shares are owned directly by Mr. Weiss.
(2) These shares are owned directly by The M&B Weiss Family Partnership, of
which Mr. & Mrs. Weiss are the general partners, and indirectly by Mr.
Weiss. No acquisition or disposition occurred. The Partnership is filing
this joint Form 4, because Section 16 filing purposes, it became a 10%
beneficial owner upon becoming a member of a group that collectively
owns 10%.
