This prospectus supplement dated March 1, 1995 modifies
the prospectus for the PaineWebber Equity Trust, Growth
Stock Series 15 dated July 7, 1994 (referred to herein as
the "Trust").
SciMed Life Systems, an issuer of one of the equity
securities held by the Trust, has announced a merger with
Boston Scientific Corporation. Due to the merger, the Trust
has received Boston Scientific Corporation securities in
exchange for all of its SciMed Life Systems shares. The
Trustee will liquidate all such Boston Scientific
Corporation securities received and pay all of the cash
proceeds as a principal distribution to Unitholders of
record as of March 8, 1995.
