20-F,  11-K, 10-Q and Form 10-QSB,  N-SAR,  or the transition  report or portion
thereof, could not be filed within the prescribed period.

         The Form 11-K could not be filed within the  prescribed  period because
         of the  inability of the  accountants  to complete  required  financial
         statements due to the accountants'  inability to receive  confirmations
         from  certain  plan  participants.  Accordingly,  without the  required
         financial  statements,  the registrant was unable to make a timely 11-K
         filing.

Dear Sirs:

Pursuant to Rule 12(b)-25, as the auditors of the Peoples Bank and Trust Company
Employee  401(k)  Savings Plan we were unable to complete the calendar year 1995
audit by June 28,  1996.  The delay was caused  due to the late  return of third
party  confirmations  required to complete  the audit.  We expect to deliver the
1995 audit shortly.
