The audit of Advanced Environmental Systems, Inc. is not yet completed and
cannot be completed by the required filing date of March 31, 1997 without
unreasonable cost and effort.

For the fiscal year ended December 31, 1996 , the Company has a pretax loss
of $569,000 as compared to a pretax loss of $809,000 for the same period
in 1995. The loss in 1996 is primarily due to the Company's increase in cost
of services in the first and third quarters. The pretax loss was reduced by
approximately $379,000 by insurance premium adjustments. While net service
revenues increased 7% or $747,000, service cost and expenses increased by 16%
or $1,182,000. The Company's direct service costs as a percentage of service
revenues for the years ended December 31, 1996 and 1995 are 76.3% and 70.4%,
respectively. The 5.9% net increase in cost of goods sold as a percentage of
service revenues for the fiscal year 1996 is attributable to a 10.1% increase
in direct costs and a decrease of 4.2% in indirect costs.
The Company's selling, general & administrative expenses for the year ended
December 31, 1996 are comparable to prior year.
