The Potomac Edison Company, pursuant to the Order and Supplemental
Order of the Securities and Exchange Commission entered on August 29
and September 5, 1986, respectively, and the Application-Declaration in the
above-entitled matter, hereby certifies as follows:
(1) That the Company, pursuant to the terms of its Charter, purchased on
July 18, 1994, 12,000 shares of The Potomac Edison Company $7.16
Cumulative Preferred Stock, Series J, at a price of $99.125 per share, and
retired the 12,000 shares of said stock; and
(2) That the Company, through the operation of the sinking fund pursuant to
the provision of Articles Supplementary/Articles of Amendment dated
September 9, 1986 and other provisions of the Charter, is required to
redeem on September 1 of each year, 12,000 shares of The Potomac
Edison Company $7.16, Series J, cumulative preferred stock; and
(3) That the Company elected to credit this purchase against the mandatory
sinking fund requirement which therefore relieves the Company of any
further action for the year 1994.
