       The Potomac Edison Company, pursuant to the Order and Supplemental Order
of the Securities and Exchange Commission entered on August 29 and September 5,
1986, respectively, and the Application-Declaration in the above-entitled 
matter, hereby certifies as follows:
       (1)     That the Company, pursuant to the terms of its Charter, 
               purchased on January 19, 1995, 9,435 shares of The Potomac 
               Edison Company $7.16 Cumulative Preferred Stock, Series J, at 
               a price of $96.50 per share; and 

       (2)     That the Company, through the operation of the sinking fund 
               pursuant to the provision of Articles Supplementary/Articles of 
               Amendment dated September 9, 1986 and other provisions of the 
               Charter, is required to redeem on September 1 of each year, 
               12,000 shares of The Potomac Edison Company $7.16, Series J, 
               Cumulative Preferred Stock; and

       (3)     That the Company elects to credit this purchase against the
               mandatory sinking fund requirement and the Company will redeem 
               the remaining 2,565 shares on or prior to September 1, 1995; and

       (4)     That the Company retired the 9,435 shares of said stock.
