On May 21, 1999, Associates First Capital Corporation (the "Registrant")
announced it had reached an agreement to sell its Avco Financial Services'
Australian and New Zealand businesses to GE Capital Finance Australasia Pty.
Ltd. Terms of the agreement were not disclosed.
