Arthur Anderson LLP ("Auditors") is currently in the process of auditing
Registrant for the year ended December 31, 1995. As of this date, the Auditors
have not completed their examination of the Registrants' books and records and,
therefore, cannot express an opinion thereon. Registrant expects that the audit
will be completed forthwith and the required Form 10-KSB will be filed within
the 15 day extension period.

During the third quarter of 1995, UNICO, Inc. ("Company") determined
that it was in the best interest of its shareholders to restructure the
Company's distributive based advertising subsidiary, Cal-Central Marketing
Corporation ("Cal-Central"). This plan of restructuring included the
closing of Cal-Central's plant and home office in Fort Lauderdale, Florida,
and the related transfer of art and production of advertising products to
the Company's other subsidiary located in Springfield, Virginia. As a
result of this restructuring and the related write-downs and impairments
necessitated by this action, UNICO suffered a loss from operations for the
third and fourth quarters of 1995, compared to a gain from operations
during comparable periods during 1994.
