                                    NARRATIVE

State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

The Form 10-QSB could not be filed within the prescribed time period due to
unforeseen delays arising in its preparation. The quarterly financial review was
delayed and, although the review has been completed in the prescribed time
period, information could not be integrated from the financial statements into
the body of the Form 10-QSB within the prescribed time period.
