                               Notification

    CSW International, Inc., a Delaware corporation ("CSWI"),
acting on behalf of Enertek, S.A. de C.V., a corporation (sociedad
anonima de capital variable) organized under the laws of Mexico
("Enertek"), hereby notifies the Securities and Exchange Commission
(the "Commission") that pursuant to Section 33 of the Public
Utility Holding Company Act of 1935, as amended (the "Act"), and
Rule 57 of the implementing regulations thereunder, 17 C.F.R.
(Section) 250.57, Enertek is, and on behalf of such company claims
status for such company as, a "foreign utility company" as defined
in Section 33(a) (3) of the Act.

Item 1.   Name of entity on whose behalf foreign utility company
          status is claimed, its business address, and a 
          description of the facilities used for the generation,
          transmission and distribution of electric energy for 
          sale or for the distribution at retail of natural or
          manufactured gas.  Identity of each person that holds
          five percent (5%) or more of any class of voting
          securities of the foreign utility company and
          description of the amount and nature of the interest.
  

          The name and address of entity claiming foreign utility
company status is as follows:

          Enertek is a special purpose company formed to own a
natural gas-fired cogeneration plant to be located within an
industrial complex near the city of Altamira, Tamaulipas, Mexico. 
As currently configured, the cogeneration plant will generate
approximately 110-150 megawatts (gross) of electricity and use a
heat recovery steam generator with supplemental duct firing to
generate up to approximately 1,000,000 lbs/hr of steam.  It is
intended that approximately 25-40 percent of the plant's electrical
output will be sold to facilities within the industrial complex,
while the remainder will be sold to other facilities outside the
industrial complex or to the Comision Federal de Electricidad, the
Mexican national electric utility.  It is intended that the steam
generated by the plant will be sold to customers within the
industrial complex.  As such, the cogeneration plant facilities
will include electricity and steam distribution lines, and
associated pumps, piping, valves, transformers, and other
equipment.

          Enertek currently expects to purchase its primary fuel
(natural gas) through arrangements with Pemex Gas y Petroquimica
Basica, the Mexican national gas utility.  The cogeneration plant
facilities thus will include approximately five (5) kilometers of
up to fourteen (14) inch diameter natural gas transmission line and
associated metering equipment and other facilities.

          Enertek has issued and outstanding a single class of
capital shares, common stock (acciones ordinarias) at Ten (10)
Mexican Pesos per share (based on Enertek's initial
capitalization).  As of the date hereof, the following entity had
outstanding shares:  Alpek, S.A. de C.V.

                          Share Ownership by CSWI

          As of the date hereof, CSWI owned no shares of the
capital stock of Enertek.  CSWI may acquire part of the issued and
outstanding capital shares of Enertek, either directly or
indirectly through one or more Project Parent(s) established
pursuant to the authority granted in the Commission's orders in
File No. 70-8423, Release Nos. 35-26156 (Nov. 3, 1994) and 35-26383
(Sept. 27, 1995).

Item 2:   Name of any domestic associate public-utility company
          and, if applicable, its holding company, and a 
          description of the relationship between the foreign
          utility company and such company, and the purchase
          price paid by any such domestic associate public-
          utility company for its interest in the foreign
          utility company.

          The following companies are domestic associate public 
utility companies of CSWI:  Central Power and Light Company, Public
Service Company of Oklahoma, Southwestern Electric Power Company,
and West Texas Utilities Company.  


None of the foregoing domestic associate public utility companies
has made an investment in or has any contractual relationship with
Enertek, and no such investment or contractual relationship is
contemplated.

          CSWI and all of the domestic associate public utility
companies described above are wholly-owned by Central and South
West Corporation ("CSW"), a registered holding company under the
Act.

holding company, state certifications under Section 33(a) (2) are
not required.
