This Post-Effective Amendment No. 1 to the Registration Statement on
Form S-8, File No. 333-13481 ("Registration Statement") of New Plan Excel Realty
Trust, Inc. (formerly known as Excel Realty Trust, Inc.)("Company") is being
filed for the purpose of deregistering 420,843 shares of the Company's common
stock ("Shares") issuable under the 1993 Stock Option Plan of New Plan Excel
Realty Trust, Inc. (formerly known as the 1993 Stock Option Plan of Excel Realty
Trust, Inc.) ("Plan"). Under Rule 429(b), the Company transferred a portion of
the registration fee paid for the Registration Statement under the Securities
Act of 1933, as amended to a new Form S-8 for the Plan filed with the Securities
and Exchange Commission on October 1, 1998. This Post-Effective Amendment No.
1 to the Registration Statement deregisters 420,843 Shares for which such
registration fee was transferred.
