Explanation of Responses:
(1) On March 19, 1999, Garbalizer Corporation of America ("GCA") and its majority owned subsidiary, Garbalizer Machinery
Corporation ("GMC") reorganized and GMC was sold. In connection with the reorganization and sale, GCA distributed a portion
of its shares of Garb Oil & Power Corporation (the "Company"), to certain of its shareholders thereby reducing the number of
shares indirectly owned by Mr. Brewer.
