State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Registrant has been unable to complete its Form 10-Q for the quarter ended
September 30, 1996, due to a delay in the completion of quarterly financial
statements by a majority-owned, publicly held subsidiary. These financial
statements have now beem completed, and the Registrant is now consolidating
that information into its Form 10-Q.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
During the quarter ended September 30, 1996, the Registrant had net
income of approximately $800,000 as compared to net income of
$2,058,720 for the quarter ended September 30, 1995. The decline
in net income was primarily due to delays in annual Medicaid rate
increases in Georgia and Tennessee.
