      SUPPLEMENT DATED APRIL 3, 1995, TO PROSPECTUS DATED AUGUST 24, 1994,
                AS PREVIOUSLY SUPPLEMENTED ON DECEMBER 20, 1994,
                     JANUARY 16, 1995 AND FEBRUARY 6, 1995.
 
     The last paragraph of the section of the prospectus captioned "PURCHASING
SHARES OF THE FUND--Alternative Sales Arrangements" hereby is supplemented by
adding the following:
 
          Van Kampen American Capital Distributors, Inc. (the "Distributor") is
     sponsoring a sales contest for INVEST Financial Corporation ("INVEST")
     relating to the Fund and other funds distributed by the Distributor,
     pursuant to which the Distributor may provide an INVEST broker an award
     valued up to $750.00 for sales of such funds during the period April 1,
     1995, through May 31, 1995.
