Explanation of Responses:
(1) Option vests 25% on the first day of the month following the first
anniversary of the hire date and 6 1/4%
quarterly
thereafter.
(2) Option vests 6.25% three months from the first day of the month following
the grant date and 6.25% thereafter.
(3) 9,750 shares vest quarterly from 8/1/94 through 8/1/97; 3,250 shares vest
on 8/29/97.
(4) 6,500 shares vest quarterly from 8/1/95 through 8/1/97; 6,500 shares vest
on 8/29/97.
(5) 7,000 shares vest quarterly from 8/1/96 through 8/1/97; 21,000 shares vest
on 8/29/97.
(6) 2,250 shares vest quarterly from 10/1/96 through 7/1/97; 9,750 shares vest
on 8/29/97.
