Explanation of Responses:
(01) Grant to reporting person on 12/31/96 of non-qualified option to purchase 30,000 shares of common stock. The options
shall vest in six equal increments of 5,000 optons every June 30th and December
31st, commencing on June 30th, 1997 provided that the director is still serv
ing as a director of the company on the applicable vesting date.
