Explanation of Responses:
(01) Grant to reporting person on 11/5/98 of non-qualified stock options to purchase 7,500
shares of common stock. The options shall vest in six installments of 1,250 stock
options each May 5th and November 5th, provided that the reporting person is still
serving as a Director of the Company on the applicable vesting date.
