The  registrant can not file its 10-Q for the quarterly  period ending on June
30, 1998 on the schedule due date for the following reasons:

     The Registrant is in the process of finalizing the definitive agreement for
the sale of Top Source  Automotive,  Inc. The Company  believes it could provide
more accurate  disclosure  regarding the transaction by delaying filing its Form
10-Q until August 19, 1998.
