State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

The registrant can not file its Form 10-K for the fiscal year period ending on
December 29, 2000 on the scheduled due date for the following reasons:
The Company's business substantially changed with the acquistion of Onkyo
America, Inc.("OAI") on August 31, 2000. Additonally, the Company completed its
acquisition of Boston Advanced Technologies, Inc. ("BATI") on December 22, 2000
and its management has been working on new financing initiatives.
As a result, the Company needs an extention of time to complete its Form 10-K
for the year ended September 30, 2000.
