The Company had several significant transactions during the most recent
quarter and due to delays in obtaining all of the details relating to these
transactions in order to determine the proper accounting treatment, the
Company has been unable to file the 10-QSB in a timely manner without
unreasonable effort and expense.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:

The results of the three and six months ended September 30, 1999, will reflect
the operating results of the Company's subsidiary in the United Kingdom which
was acquired during March 1999.  Since the subsidiary was only recently
acquired, there were no comparable results in the prior year.  The Company
expects to report net sales for the six months ended September 30, 1999, of
approximately $13,311,780 and an operating loss before income taxes and
extraordinary items of approximately $(5,102,906).
