On May 28, 1999, the Company changed its fiscal year end from May 31 to March
30, and elected to have this effective for the year ended March 31, 1999. The
Company is still in the process of completing its financial statements for the
year ended March 31, 1999, and since the balance sheets have not been
finalized, the Company has been unable to prepare the financials for the three
months ended June 30, 1999.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
The results for the three months ended June 30, 1999, will reflect the
operating results of the Company's subsidiary in the United Kingdom which was
acquired during March 1999. Since the subsidiary was only recently acquired,
there were no comparable results in the prior year.
