The Company had several significant transactions during the most recent
quarter and due to delays in obtaining all of the details relating to these
transactions in order to determine the proper accounting treatment, the
Company has been unable to file the 10-QSB in a timely manner without
unreasonable effort and expense.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
The Company expects to report that during the quarter ended June 30,
2000, the Company had net revenues of approximately $39.1 million as compared
to reported revenues of approximately $4.4 million for the quarter ended June
30, 1999. The Company also expects to report a net loss of approximately $3.5
million, $0.04 per share, during the quarter ended June 30, 2000, as compared
to a reported net loss of $2.5 million, $0.05 per share, for the quarter ended
June 30, 1999. The increased revenues were a result of the continued
development of the Company's own products as well as from the acquisition of
other businesses.
