The Company's Annual Report on Form 10-K for the year ended June 30,
1999 cannot be filed within the prescribed time period because the
Company is experiencing delays in the collection and the compilation of
certain financial and other information required to be included in the
Form 10-K. The Form 10-K will be filed as soon as reasonably
practicable and in no event later than the fifteenth calendar day
following the prescribed due date.

The Company anticipates reporting a net loss for the fiscal year ended
June 30, 1999, including a net loss for the three months ended June 30,
1999. The Company cannot estimate the total amount of the net loss for
the fiscal year until it collects, compiles and analyzes all of the
data for the fiscal year.
