         The Company's Quarterly Report on Form 10-Q for the quarter ended March
         31, 1999 cannot be filed within the prescribed time period because the
         Company experienced delays in the collection and the compilation of
         certain financial and other information required to be included in the
         Form 10-Q. The Form 10-Q will be filed as soon as reasonably
         practicable and in no event later than the fifth calendar day following
         the prescribed due date.

         The Company will report a net loss of approximately $18.2 million for
the three months ended March 31, 1999, which will include a one-time loss of
approximately $11.0 million for the write down of assets held for sale to their
net realizable value during the quarter.
