thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in
or filed with the form will be made a matter of public record in the
Commission files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of
the registrant is registered.

PART III -- NARRATIVE
The Form 10-K could not be filed within the prescribed time period
without unreasonable effort or expense because the management and accounting
personnel responsible for the preparation of the report were involved in
responding to certain comments of the Securities and Exchange Commission on the
Company's S-3 registration statement and other periodic reports incorporated
therein and in obtaining the effectiveness of the Company's S-3 Registration
Statement.
PART IV -- OTHER INFORMATION
The Company announced on July 27, 1998 that it expects to record a
pre-tax charge of up to $15 million for the year ended April 30, 1998 from
certain discontinued operations. At the present time, until the Company and
its auditors complete the audit process, the Company is unable to make a
reasonable estimate of the results of operations to be reflected in the
financial statements to be included in the Form 10-K.
