State below in reasonable detail the reasons why the Form 10-K,
11-K, 10-Q, N-SAR, or the transition report or portion thereof,
could not be filed within the prescribed time period.
The Company has experienced an unusually heavy work load and
reallocation of resources in the last six months caused by its
previously announced divestiture and restructuring activities,
delaying the Company's efforts to complete its Form 11-K filing.
Also, this is the first time this report is being filed
electronically. It is anticipated that the Form 11-K will be
filed by July 11, 1994.
