(3) Explanation of anticipated change.

    Capital Associates, Inc. will post a loss, for the quarter ended November
    30, 1999, in excess of $1,000,000 due to an increase in the provision for
    losses of approximately $700,000 and a loss from a subsidiary of
    approximately $440,000. In addition, a lessee filed for bankruptcy within
    the past seven days that requires evaluation.
